WyoMicro Terms & Conditions

Welcome to wyomicro.org (the “Site”), operated by Wyoming Women’s Business Center, doing business as WyoMicro (“WyoMicro,” “we,” “us,” or “our”), a 501(c)(3) nonprofit organization and SBA microlender based in Laramie, Wyoming. WyoMicro is a registered tradename of Wyoming Women’s Business Center.

These Terms and Conditions (“Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, please do not use the Site.

 

1. About WyoMicro

 

WyoMicro is a nonprofit microlender that provides loans, business counseling, educational programs, training, workshops, and other business support services to entrepreneurs, primarily in Wyoming.

The Site provides information about WyoMicro, its programs and services, loan opportunities, educational resources, and other activities. Unless expressly stated otherwise in a separate written agreement, information provided through the Site is for general informational purposes only.

 

2. No Financial, Legal, Tax, or Business Advice

 

Content provided through the Site is for general informational and educational purposes and does not constitute financial, legal, tax, accounting, investment, or other professional advice.

Business counseling, workshops, training programs, educational materials, and other resources provided by WyoMicro are intended to provide general assistance and information. WyoMicro does not guarantee that participation in any program or service will result in business success, profitability, financing, loan approval, SBA eligibility, or any other particular result.

​

You are responsible for evaluating information provided through the Site and for consulting appropriate professional advisors regarding your individual circumstances.

 

3. Loan Programs and Eligibility

 

Information regarding WyoMicro’s loan programs, eligibility requirements, rates, terms, and availability is provided for general informational purposes and is subject to change.

​

The Site may permit you to submit information and documents for purposes of determining your potential or preliminary eligibility for WyoMicro loan programs. Submission of an intake or eligibility form does not constitute a formal loan application, loan approval, offer to lend, or commitment of funds.

 

Final eligibility and approval are subject to WyoMicro’s application, underwriting, and approval processes and any applicable SBA or other program requirements. WyoMicro may request additional documentation or information as part of that process.

Any loan ultimately made by WyoMicro will be governed by the promissory note, loan agreement, security documents, disclosures, and other agreements executed in connection with the loan. In the event of any inconsistency between information provided on the Site and executed loan documents, the executed loan documents will control.

​

WyoMicro reserves the right to modify, suspend, discontinue, or change the eligibility requirements, availability, rates, terms, or other features of its loan programs, subject to applicable law and program requirements.

 

4. Business Counseling, Training, and Other Programs

 

WyoMicro may provide business counseling, workshops, webinars, training programs, educational materials, referrals, and access to other resources or professionals.

​

Participation in these services does not create an attorney-client, accountant-client, financial advisor-client, fiduciary, or other professional relationship between you and WyoMicro.

WyoMicro does not warrant or guarantee the accuracy, completeness, suitability, or effectiveness of information or resources provided through its counseling, educational, or training programs, or that participation in such programs will result in financing, business success, increased revenue, profitability, or any other particular outcome.

 

5. Third-Party Professionals and Resources

 

WyoMicro may provide information about, referrals to, or opportunities to interact with third-party professionals, organizations, governmental agencies, lenders, service providers, or other resources.

Unless expressly stated otherwise, such third parties are independent from WyoMicro. A referral, link, introduction, or other reference to a third party does not constitute WyoMicro’s endorsement or guarantee of that third party or the services or information the third party provides.

​

You are responsible for independently evaluating any third-party professional or service provider and determining whether the provider and its services are appropriate for your needs.

 
6. Information and Documents You Submit

 

You are responsible for ensuring that information and documents you submit through the Site are accurate and that you have the right and authority to provide them.

​

By submitting information or documents through the Site, you authorize WyoMicro to use the information for the purpose for which it was submitted and for related program administration, lending activities, communication, recordkeeping, compliance, grant reporting, SBA technical-assistance records, and other purposes described in our Privacy Policy. Information submitted through loan intake forms may be stored in third-party systems used by WyoMicro and may be disclosed to the U.S. Small Business Administration as required or permitted in connection with WyoMicro’s programs, grants, and reporting obligations.

You may not knowingly submit false, fraudulent, misleading, unlawful, or infringing information or materials through the Site.

​

Submission of information through the Site does not create a confidential, fiduciary, professional, lending, or contractual relationship with WyoMicro except as expressly provided in a separate written agreement.

 

7. Board Applications

 

The Site may permit individuals to submit applications or expressions of interest in serving on WyoMicro’s board of directors.

​

Submission of a board application does not guarantee an interview, nomination, appointment, or other position with WyoMicro. WyoMicro reserves the right to evaluate applicants and make board nomination and selection decisions in accordance with its governing documents, policies, applicable law, and organizational needs.

 
8. Donations

 

WyoMicro is a 501(c)(3) tax-exempt organization. Donations to WyoMicro are tax-deductible to the extent permitted by applicable law. Donors are responsible for consulting their own tax advisors regarding the deductibility of any contribution.

 

Donations made through the Site are processed through GiveButter, a third-party payment processor. WyoMicro receives donor information such as the donor’s name, telephone number, mailing address, and donation information, but WyoMicro does not receive or store donors’ credit or debit card numbers or other payment credentials. Payment information is collected and processed directly by GiveButter and is subject to GiveButter’s separate terms, conditions, and privacy policy.

Unless otherwise expressly agreed by WyoMicro, donations are considered charitable contributions to support WyoMicro’s charitable purposes and programs and are not payments for goods, services, loans, or other benefits.

 

9. Acceptable Use of the Site

 

You agree to use the Site only for lawful purposes and in accordance with these Terms.

 

You may not:

  • Attempt to gain unauthorized access to the Site, accounts, servers, databases, or other systems;

  • Interfere with or disrupt the operation or security of the Site;

  • Introduce viruses, malicious code, or other harmful material;

  • Use automated means to access, scrape, copy, or collect Site content except as authorized by WyoMicro or permitted by law;

  • Misrepresent your identity or provide knowingly false information through forms or applications;

  • Use the Site to engage in fraudulent, unlawful, abusive, or harmful activity;

  • Infringe the intellectual property, privacy, or other rights of WyoMicro or any third party; or

  • Use Site content for unauthorized commercial purposes.

 

WyoMicro may restrict or terminate access to the Site when we reasonably believe these Terms have been violated.

 

10. Intellectual Property

 

Unless otherwise indicated, the Site and its content, including text, graphics, logos, photographs, videos, educational materials, design elements, and the WyoMicro name and branding, are owned by or licensed to WyoMicro and are protected by applicable intellectual property laws.

You may access and use Site content for your personal, informational, and noncommercial use. You may not reproduce, distribute, modify, publish, sell, commercially exploit, or otherwise use Site content without WyoMicro’s prior written permission, except as permitted by applicable law.

 

11. Third-Party Websites and Services

 

The Site may contain links to or integrate with websites, payment processors, applications, social media platforms, or other services operated by third parties.

 

WyoMicro does not control and is not responsible for the availability, content, accuracy, security, privacy practices, terms, products, or services of third parties. Your use of third-party websites and services is subject to the terms and policies of those third parties.

 

12. Website Disclaimer

 

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WYOMICRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SITE AND ITS CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WYOMICRO DOES NOT WARRANT THAT THE SITE WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

​

13. Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WYOMICRO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE SITE.

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

14. Indemnification

 

To the extent permitted by applicable law, you agree to indemnify and hold harmless WyoMicro and its directors, officers, employees, agents, contractors, and representatives from claims, liabilities, losses, damages, and reasonable expenses arising from your unlawful use of the Site, your violation of these Terms, or your infringement of the rights of another person.

15. Privacy

Your use of the Site and submission of information through the Site are also subject to WyoMicro’s Privacy Policy. Please review the Privacy Policy for information regarding how WyoMicro collects, uses, discloses, and protects information.

 

16. Changes to the Site or These Terms

 

WyoMicro may modify, suspend, or discontinue all or any portion of the Site at any time.

We may also update these Terms periodically. The Effective Date at the top of these Terms reflects the date of the most recent revision. Your continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

 

17. Governing Law and Venue

 

These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.

 

To the extent permitted by applicable law, any legal action arising out of or relating to the Site or these Terms shall be brought in a court of competent jurisdiction located in Wyoming.

 

18. Severability and Waiver

 

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

 

WyoMicro’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or of WyoMicro’s right to enforce it in the future.

19. Entire Agreement

 

These Terms, together with the Privacy Policy and any other terms or policies expressly incorporated by reference, constitute the agreement between you and WyoMicro regarding use of the Site.

 

These Terms do not supersede or modify any separate loan agreement, promissory note, security agreement, program agreement, or other written agreement between you and WyoMicro. If there is a conflict regarding a matter governed by a separate written agreement, the separate written agreement will control with respect to that matter.
